These Website Terms of Use (“Terms”) govern your use of metalninjastudios.com and pages on that website operated by Metal Ninja Studios (“MNS,” “we,” “us,” or “our”). Please read them before using the website. If you do not agree to these Terms, do not use the website. These Terms concern the public website. A signed agreement, statement of work, promotion’s official rules, or other specific written terms govern the separate activity they address; if those documents conflict with these Terms concerning that activity, the specific written terms control.
1. What the Website Provides
This website describes MNS, its Concept to Comic™ process, other services, work examples, educational materials, news, and ways to contact us. Website content is general information. Descriptions of possible services, schedules, project outcomes, or pricing are not a binding proposal or a promise to perform work. The scope, price, deliverables, schedule, approvals, ownership arrangements, and other terms for any project must be established in a separate written agreement accepted by MNS and the client.
Examples of completed comics, campaigns, audience growth, publishing opportunities, and creator results illustrate particular projects. Results depend on many factors; using our services does not guarantee crowdfunding, distribution, publication, sales, or a particular creative or commercial result. This paragraph does not override a specific commitment we make in a signed client agreement.
2. Ownership of Website Materials
The website contains text, graphics, design, logos, marks, illustrations, comic pages, photographs, videos, and other material belonging to MNS, its clients, creators, collaborators, or other rights holders. Its appearance on the website does not mean that MNS owns all of it or can grant you rights to reuse it. You may view the website and make ordinary copies needed for personal browsing. Any other copying, republication, adaptation, distribution, or commercial use requires permission from the applicable rights holder, except as allowed by law.
The Metal Ninja Studios name, logos, and Concept to Comic™ name are used to identify our business and offerings. These Terms do not grant permission to use them in a way that suggests sponsorship, endorsement, or affiliation.
3. Creator Inquiries and Materials You Send Us
We welcome inquiries from creators, publishers, and other prospective clients. If you send us a pitch, summary, script, artwork, manuscript, business information, or other material (“Submitted Material”), you retain whatever rights you have in it. Submitting it through the website does not transfer copyright or ownership to MNS, and these Terms do not grant us a license to publish or commercially exploit your creative work.
You give us permission to receive, store, copy as needed to review, and share your Submitted Material with personnel and service providers involved in evaluating and responding to your inquiry. If a project proceeds, its signed agreement will address any additional uses and rights. Please send only material you are authorized to share. Do not submit another person’s confidential material or work in a way that violates their rights.
A general website inquiry does not create a confidential relationship or a nondisclosure agreement. If confidentiality is important before you share a full script, unpublished artwork, business plan, or other sensitive material, contact us first to discuss whether a separate written agreement is appropriate. You can begin with a short, nonconfidential summary. We may decline to review an unsolicited attachment or proposal.
MNS may already be working on stories or projects with similar broad themes, settings, characters, or ideas, or may encounter similar material from other sources. A submission alone does not prevent independent work on similar concepts. Nothing in this section authorizes us to copy protected expression from your Submitted Material or limits rights you have under applicable law.
Sending an inquiry does not require MNS to respond, accept a project, pay for an unsolicited submission, or enter into a business relationship.
4. Acceptable Use
When using the website, you agree not to:
- Use it for unlawful, fraudulent, harassing, or infringing activity.
- Attempt to gain unauthorized access to the website, its accounts, servers, or connected systems; interfere with their security or operation; or introduce malicious code.
- Submit spam, impersonate another person, or knowingly provide false information in an inquiry.
- Scrape, harvest, or systematically extract website content or personal information by automated means in a way that disrupts the website or violates applicable law or others’ rights.
- Suggest that MNS endorses you or your project without our permission.
These restrictions do not limit activity permitted by applicable law, including lawful quotation, criticism, or fair use. We may take reasonable measures to protect the website, restrict misuse, and refer suspected unlawful conduct to the appropriate authorities.
5. Links, Embeds, and Outside Services
The website may link to or display services operated by others, including scheduling tools, video players, crowdfunding platforms, community sites, social media, and creator or publisher websites. Their content, availability, privacy practices, and terms are controlled by their operators. A link or embed does not automatically mean MNS endorses the third party or assumes responsibility for its services. Review the terms that apply when you leave our website or use an embedded service.
If we run a giveaway, contest, or other promotion, its separate official rules govern eligibility, entries, prizes, deadlines, and winner selection. These Website Terms do not replace those rules.
6. Privacy
Our Privacy Policy explains how we collect and handle information through the website. It is separate from these Terms. Please review it before sending personal information or creative materials through a form.
7. Website Availability and Changes
We work to keep the website useful and accurate, but content may become outdated and website features may be interrupted or changed. We may correct errors, update content, or suspend access when reasonably necessary. Please confirm any information important to a potential project directly with us. Nothing on the website changes an existing signed agreement.
8. Disclaimers and Responsibility
To the extent permitted by applicable law, the website and its general information are provided without a warranty that they will always be available, error-free, or suitable for a particular purpose. MNS is not responsible for losses arising solely from reliance on general website information where a separate written project agreement was required. To the extent permitted by applicable law, MNS is not liable for indirect, incidental, special, or consequential damages resulting from use of the website.
Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded or limits obligations under a signed client agreement. These Terms do not prevent you from posting an honest review or making a lawful complaint about MNS.
9. Applicable Law
These Terms are governed by the laws of Florida, United States, except where applicable consumer protection law requires otherwise. This provision concerns the public website; any governing-law or dispute provision in a signed agreement applies to that agreement.
10. Updates to These Terms
We may revise these Terms as the website and our practices change. The current version will be posted here with its effective date. Revisions apply to website use after the updated Terms are posted. They do not change an existing signed agreement unless that agreement is amended according to its own terms.
